Board members cannot
conduct any transaction of a commercial nature that relates to the scope of the
company's activity in his or her name or in the name of any other persons
without obtaining permission from the general assembly. Furthermore, board members cannot be involved
in a company that has the same type of business as a partner with unlimited
liability. On the contrary, the company can claim compensation from the board
member. Alternatively, instead of the compensation, the company may consider
the concerned transaction as it was made in the name of the company and claim
any benefits arising from that transaction.
